Our hybrid legal structure is a group of non-profit organization and for-profit company.
Our vision is to contribute to the emergence, recognition and sharing of wealth and value with the finality of living in a perennial world of peace through harmonious and integral evolution of Mankind and Earth.

We offer electronic business goods and online virtual services and our process steps and loyalty program are based on three common steps:

Onboarding process · profile creation

Each actor shall respect the following:
· Capacity of 18 years old minimum, and full capacity of representation.
· Privacy and cookie policy and its consequences.
· Due diligence by VirtoSango done for specific products offer.

User · with profile · individual person

Each individual person user is defined as natural person, consumer, member, group of members.

User · with profile · business entrepreneur

Each business entrepreneur user is defined as legal entity, independent or organization, producer, project leader.
Each business entrepreneur user shall prove its business existence with, but not limited to, commercial registration abstract.

Financer · with profile · individual or business

Each individual or business financer is defined as buyer, seller, doner, investor, lender.
Each individual or business financer, who invest in or lend to project, shall prove its capacity of financing with appropriate documentation.

VirtoSango is doing everything possible to insure VirtoSango safety but can not guarantee an absolute safety, so solicits the help of actors: visitor, user, financer.

Creating a profile account for a third party or another profile account for the same actor is strictly prohibited.
Incomplete, false, protected, spam, robot, virus, undesirable, homophobic, pornographic, racist, or violent data publication or message transmission is strictly prohibited.
The non-respect of this privacy policy clause represents a wilful misrepresentation or serious misconduct. In this case, VirtoSango will be allowed to cancel the Agreement.

Payment data protection

Only the necessary data are sent to the payment gateway, according to its General Terms and Conditions, as defined below.

Hosting

VirtoSango database central server use a cryptographic protocol, Transport Layer Security or Secure Sockets Layer certificate, to secure all communications with web browser, website, electronic mail, instant messaging, and voice over internet protocol.

Legal disclosure

VirtoSango only pass on your data to state institutions and authorities entitled to the information as part of legal disclosure requirements or if we are required to provide the information as a result of a court ruling.

Open licence

Some works, data or software, are published under open content, access, source licence, such as free software, copyleft, or other copyright licences, and shall be respected by actors: visitor, user, financer.

Data management licence

Sui generis database right: VirtoSango Group, or any of its affiliates, has a non-exclusive and irrevocable transferable licence to use every data and communication published on, and compiled by, VirtoSango by actors: visitor, user, financer.

Software licence

End-User Licence Agreement: VirtoSango Group, or any of its affiliates, has exclusive rights on the use, copy or redistribution permission of some software, source code, object code form presented on, in or by VirtoSango, as a software licensor.

Impressum

International Standard Serial Number: every VirtoSango print, electronic or linking serial publication has its unique commercial serial identifier.
International Standard Book Number: every VirtoSango edition and variation of a book has its unique numeric commercial book identifier.

Copyright

Trademark

® Registered trademark: VS VirtoSango Vitam Sensu VIR Virto word, acronyms, expression, symbol, sign, design, icon and logotype are word mark, trade mark ™ and service mark ℠ registered with a national and international trademark office to identify VirtoSango products, goods and services and Virto currencies, vouchers and rewards.

Design

Industrial design right: VirtoSango Group, or any of its affiliates, has exclusive rights on some handicraft, industrial commodity, product, objects with visual design, shape, configuration, composition, combination of pattern and/or color in two- or three-dimensional form containing aesthetic value presented on, in or by VirtoSango.

Patent

Patent: VirtoSango Group, or any of its affiliates, has exclusive rights on some inventions products or processes, or technological solutions presented on, in or by VirtoSango.

Trade commissioner

Variable or fixed commission to VirtoSango by way of business facilitator is defined by VirtoSango Group, or any of its affiliates, according to its revenue model on transactions.

Conversion rate

Virto virtual currency conversion rate, effective the midday (12:00 Universal Time Coordinated) before according to VirtoSango quotation, is supported by actors: visitor, user, financer.

Exchange rate

Foreign currency exchange rate, effective the midday (12:00 Universal Time Coordinated) before according to the Foreign exchange market quotation, is supported by actors: visitor, user, financer.

Sale conditions

For any goods or services selling, sale conditions are stipulated on the order acknowledgement and/or on the invoice.

Delivery

For any products delivery, delivery terms are stipulated on the order acknowledgement and/or on the invoice.

Payment systems

Specific offers payment

Crowdfunding with VirtoSango · Development:
· Keep it all, keep whatever funds risen, even if goal not hit. If the goal is exceeded or not reached in the fundraising period, the full amount is transferred through the payment systems, without any refund, except if this Agreement is not respected.
· Rewards can not exceed project’s maximum pledge amount and maximum reward amount based on project’s country of origin: thirteen thousand Australian dollar (13’000 AUD) in Australia, eight thousand and five hundred euro (8’500 EUR) in Austria, Belgium, France, Germany, Ireland, Italy, Luxembourg, Netherlands, Spain ; thirteen thousand Canadian dollar (13’000 CAD) in Canada ; sixty five thousand Danish krone (65’000 DKK) in Denmark ; seventy five thousand Hong Kong dollar (75’000 HKD) in Hong Kong ; two hundred thousand Mexican peso (200’000 MXN) in Mexico ; fourteen thousand New Zealand dollar (14’000 NZD) in New Zealand ; eighty thousand Norwegian krone (80’000 NOK) in Norway ; thirteen thousand Singapore dollar (13’000 SGD) in Singapore ; eighty five thousand Swedish krona (85’000 SEK) in Sweden ; nine thousand and five hundred Swiss francs (9’500 CHF) in Switzerland ; eight thousand Pound sterling (8’000 GBP) in United Kingdom ; ten thousand United States dollar (10’000 USD) in United States of America.

Profile deletion

Each actor has the right to delete his profile at any time. This deletion corresponds to the cancellation of the Agreement.

Notification period

VirtoSango Group, or any of its affiliates, business entrepreneur user and individual or business financer can terminate this Agreement by notifying at any time to the other parties a declaration of cancellation by registered post with acknowledgement of receipt.

Introducer commission

During a three (3) years period after cancellation of this Agreement, any investment, loan, donation made in the organization of a project leader by any investor, lender, donor directly or indirectly linked to VirtoSango will lead to a commission to VirtoSango Group, or any of its affiliates, by way of business facilitator.

Confidentiality obligation

Professional, business and technical secret and confidentiality obligation during a ten (10) years period after cancellation of this Agreement.

The crowdfunding backer has a period of fourteen (14) days to exercise its right of revocation without having to give any reasons or incurring penalties, except, if necessary, return costs.

VirtoSango Group, or any of its affiliates, shall not be liable under or in connection with the Agreement for any loss of income, loss of actual or anticipated profits, loss of business, loss of contracts, loss of goodwill or reputation, loss of anticipated savings, loss of damage to or corruption of data, or for any indirect or consequential loss or damage of any kind, in each case howsoever arising, whether such loss or damage was foreseeable or in contemplation of the parties.

VirtoSango Group, or any of its affiliates, total liability arising in connection with the performance or contemplated performance of the Agreement shall be limited to the purchase price of thousand Swiss francs (1’000 CHF).

Amicable resolution · Preliminary negociation

In the event of a dispute, controversy or claim, arising out or in connection with the Agreement, including any question regarding its existence, validity or termination, the parties shall use their best endeavours to immediately resolve the dispute amicably.

Mediation

If a controversy arises out of or relates to this Agreement, or the breach thereof, and if the controversy cannot be settled through amicable resolution, the parties agree to try in good faith to settle the controversy by mediation, before resorting to final and binding arbitration, in accordance with the Mediation Rules of the Swiss Chamber of Commercial Mediation, http://www.skwm.ch/index-en.php?frameset=2&page=174.

Arbitration rules

Any dispute arising between the parties, and if the controversy cannot be settled through amicable resolution or mediation, shall be referred to and resolved through arbitration by the International Court of Arbitration of the International Chamber of Commerce in accordance with the Rules of Arbitration of the International Chamber of Commerce in force, which rules are deemed to be incorporated by reference into this clause, http://www.iccwbo.org/Products-and-Services/Arbitration-and-ADR/Arbitration/Rules-of-arbitration/Download-ICC-Rules-of-Arbitration/ICC-Rules-of-Arbitration-in-several-languages/.

Arbitral Tribunal seat

The seat of the arbitral Tribunal shall be in Geneva, Switzerland.

Arbitration language

The arbitration shall be conducted in the French language.

Unilateral modification

We reserve the right to amend these Terms and Conditions, including payment and warranty terms, without notice to you. We may provide notice to changes to these Terms and Conditions and other matters by displaying notices or hypertext links to notices or by simply making the changes on the website. Frequent review of our website and these Terms and Conditions is recommended. However, agreements concluded on the basis of previous Terms and Conditions remain unaffected.

Integrality

This Agreement and any schedules constitute the entire understanding between the parties and supersede any prior communication, representations, or agreements whether oral or in writing.

Interpretation

This Agreement shall be construed and performed in a spirit of good faith and fair dealing.

Notifications and communications

The official language used for any communications between the parties shall be the English, French, or Spanish language.
Notices under this Agreement shall be made by electronic mail provided the sender takes precautions necessary to ensure that the notice has been received, at the following email address:

Divisibility

If any of the clauses of this Agreement are found to be null and void, the remaining clauses of this Agreement shall remain valid and shall continue to bind the parties.
